Wholesale Terms & Conditions

1. Introduction

These terms and conditions govern the relationship between Simone & Ivy  (referred to as "the Vendor," "we," or "us") and the wholesale customer (referred to as "the Customer," "you," or "your") for the purchase and sale of products. By placing an order with us, you agree to be bound by these terms and conditions.
 

2. Orders

  • Orders can be placed via our online store simoneandivy.ca 

  • You will receive 50% off the retail price by applying the discount code we will provide to you at checkout.

  • Our first order/re-order minimum is $250. All of our products are sold in quantities of 6. Our current lead time per wholesale order is 4 business days.

  • Once accepted, orders cannot be cancelled or modified without the Vendor's consent.

  • Prices are subject to change without notice. However, the price charged will be the price in effect at the time of order placement.

  • All orders are subject to acceptance by the Vendor. We reserve the right to refuse any order for any reason.

3. Pricing

  • Our suggested Retail Price is 2x the cost of the item. You may NOT sell any S&I Products at a Lower Retail Rate (unless part of your store's sales and promotions). Out RRP "Reccommended Retail Price" is the price listed on our website.

3. Payment Terms

  • Payment must be made in full at the time of order placement.

  • We accept payment via Visa, Visa Debit, M/C and E-transfer.

  • In the event of late payment, the Customer agrees to pay any collection costs, including reasonable attorney fees, incurred by the Vendor.

  • We reserve the right to withhold further shipments until all outstanding payments are made.

4. Shipping and Delivery

  • All orders are shipped from our store after the complete payment has been received.

  • Shipping costs are the responsibility of the Customer and will be added to the invoice. Canada - $15 flat rate.

  • Delivery dates are estimates only and not guaranteed. We are not liable for any delays in delivery.

  • Any damage during transit will be rectified by the vendor.

5. Returns and Exchanges

  • All sales are final. Returns and exchanges will only be accepted in the case of defective or damaged products.

  • Any claims for defective or damaged products must be made within 10 days of delivery. Please send an email to hello@simoneandivy.ca with a picture of the damaged products. Our team will get in touch with you to offer a replacement or a credit.

  • If you have received the wrong products or missing products, please send an email to hello@simoneandivy.ca and our team will assist ASAP.

  • The Vendor reserves the right to inspect returned products before issuing a refund or replacement.

6. Product Warranty

  • We warrant that our products will conform to the specifications provided.

  • We do not warrant against damage resulting from misuse, accident, or normal wear and tear.

  • Our liability is limited to the replacement of defective products or a refund of the purchase price.

 7. Wholesale Resources

  • Simone & Ivy provides hi-res product/lifestyle photos to make selling our products even easier. Should you require any additional images, please contact us. 

8. Limitation of Liability 

  • In no event shall the Vendor be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the sale of products.

9. Third-Party Site / Web Commerce / Reselling

  • Reselling Simone & Ivy products through Amazon, eBay or Etsy is strictly prohibited. If a retailer is planning to sell Simone & Ivy products in an online store, it must be owned by the entity applying for a wholesale account. Retailers re-selling on these third-party sites will have their wholesale account terminated.

  • The Customer agrees not to reproduce, distribute, or resell the Vendor's products without prior written consent.

  • All intellectual property rights in the products, including trademarks and copyrights, belong to the Vendor.

10. Miscellaneous

  • These terms and conditions constitute the entire agreement between the Vendor and the Customer and supersede all prior agreements and understandings.

  • We reserve the right to update or modify these terms and conditions at any time without prior notice.

By placing an order with us, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
